1. Scope and B2B nature of the Site

Agmeno provides HR-related services primarily to businesses and professional organisations. The Site is intended to provide information about Agmeno, enable business enquiries and support discussions about potential cooperation. It is not an online store and, unless expressly stated otherwise, it is not intended to create consumer contracts through the Site.

These Terms govern use of the public Site only. They do not by themselves govern paid Agmeno services, client projects, independent HR specialist engagements, candidate processing or any authenticated future platform or portal. Those activities may be subject to separate proposals, order forms, master service agreements, data processing agreements, contractor agreements, platform terms or other written terms. If there is a conflict, the specifically agreed written contract prevails for the relevant service or relationship.

2. Website content is not a binding offer

Information on the Site - including service descriptions, examples, indicative pricing, process descriptions, timelines, statistics, availability, capacity and other commercial information - is provided for general information and business discussion. Unless expressly incorporated into a signed agreement or otherwise confirmed as binding in writing by Agmeno, Site content does not constitute a binding offer, warranty, service-level commitment or guarantee.

Submitting a form, sending an email, booking a call or discussing a potential project does not create a contract. A commercial engagement is created only when the parties validly agree the relevant commercial terms, scope and contractual documentation.

3. Changes to services and Site content

We may update, withdraw, correct or change the Site, service descriptions, packages, prices, features, availability or other content at any time. We aim to keep information accurate, but we do not warrant that all Site content is complete, current or error-free at all times.

4. Permitted use

You may use the Site for lawful informational and business purposes. You must not:

  • use the Site in violation of applicable law, regulation, third-party rights or these Terms;
  • attempt to gain unauthorised access to the Site, servers, accounts, systems, data or networks;
  • interfere with security, availability, integrity or normal operation of the Site;
  • introduce malware, malicious code, harmful automated requests or other disruptive technology;
  • impersonate another person or misrepresent your identity, authority, organisation or intentions;
  • submit unlawful, defamatory, infringing, confidential or misleading material through the Site;
  • systematically scrape, crawl, harvest, copy, mirror, index or extract Site content or data by automated means without our prior written permission, except to the extent such restriction is prohibited by applicable law;
  • reverse engineer, decompile or attempt to derive source code from Site functionality except where applicable law expressly permits it; or
  • use Agmeno branding, content, methodologies or materials to create a misleading association with Agmeno or to pass them off as your own.

5. Enquiries and information you submit

You are responsible for ensuring that information you submit to us is accurate, lawful and that you have the right to provide it. Do not submit confidential information, special-category personal data, trade secrets, candidate data or other sensitive information through a general website form unless we specifically request it or an appropriate secure process and contractual basis are in place.

We may decline to respond to an enquiry, reject a proposed project or request additional information at our discretion, subject to applicable law and any existing contractual obligations.

6. Intellectual property

The Site and its contents, including the Agmeno name and branding, text, graphics, layouts, designs, service descriptions, methodologies, process visualisations, downloadable materials, software elements and other original content, are owned by Agmeno or used under licence and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for your internal informational and legitimate business purposes. No other licence or transfer of intellectual property rights is granted.

You may not reproduce, publish, distribute, commercially exploit, modify or create derivative works from protected Site content without prior written permission, except for limited quotation or use expressly permitted by law.

7. Third-party content and links

The Site may refer or link to third-party websites, platforms, tools, social networks or content. Such links are provided for convenience or context and do not necessarily constitute endorsement. We do not control and are not responsible for third-party availability, content, security, terms, privacy practices or services.

8. No HR outcome guarantee

HR, recruitment and onboarding outcomes depend on factors outside Agmeno's control, including labour-market conditions, compensation, employer reputation, candidate decisions, client responsiveness, hiring criteria, internal management, legal requirements and project scope. Nothing on the Site guarantees that a role will be filled, a candidate will accept an offer, a person will remain employed, a specific hiring timeline will be achieved or a particular business result will occur.

Any binding service commitments, deliverables, scope, capacity, milestones, replacement arrangements or service levels must be set out in the applicable written client agreement.

9. No legal, tax or regulated professional advice

Site content is not legal, tax, accounting, immigration, payroll or other regulated professional advice. HR practices and employment requirements vary by country and circumstance. Clients remain responsible for obtaining appropriate local professional advice and for their own employment, hiring and business decisions unless a written Agmeno agreement expressly assigns a specific responsibility to Agmeno.

10. Availability and security

We may suspend, restrict, modify or discontinue any part of the Site for maintenance, security, operational or business reasons. We do not guarantee uninterrupted or error-free availability. We may take reasonable steps to block or restrict access where we believe the Site is being misused or security is at risk.

11. Disclaimers

To the maximum extent permitted by applicable law, the Site and its public content are provided on an "as is" and "as available" basis. Agmeno excludes warranties, representations and conditions that are not expressly stated in a binding written agreement, including implied warranties of accuracy, completeness, fitness for a particular purpose, non-infringement or uninterrupted availability, to the extent such exclusions are legally permitted.

12. Limitation of liability

To the maximum extent permitted by applicable law, Agmeno will not be liable for indirect, incidental, special, punitive or consequential loss arising solely from use of, inability to use, or reliance on the public Site, including loss of profit, revenue, business opportunity, goodwill or data, where such exclusion is legally permitted.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for intentional misconduct or other liability that applicable mandatory law requires to remain unrestricted. Liability relating to paid services is governed by the applicable written commercial agreement rather than these Site Terms.

13. Responsibility for misuse

If you use the Site in breach of these Terms or applicable law, you are responsible for the consequences of that misuse. Where you use the Site in the course of business and to the extent permitted by law, you will be responsible for reasonable losses, claims, costs or expenses incurred by Agmeno as a direct result of your unlawful use, infringement of third-party rights or material breach of these Terms.

14. Privacy and cookies

Our processing of personal data is described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Policy and Cookie Settings. These documents form part of the legal information governing use of the Site.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Slovak Republic, without prejudice to mandatory rules that may apply regardless of a contractual choice of law. Where the user acts in the course of business, disputes relating solely to these Terms or use of the public Site will be subject to the jurisdiction of the competent courts of the Slovak Republic, unless the parties validly agree otherwise in writing.

Nothing in this section removes any mandatory rights or jurisdiction protections that cannot legally be waived.

16. Changes to these Terms

We may update these Terms from time to time. The version published on the Site with the latest update date applies from publication unless a different effective date is stated. Material changes affecting an existing contractual service will not override a separately signed agreement unless that agreement permits such change.

17. General provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect to the extent legally possible. A failure by Agmeno to enforce a provision immediately does not waive the right to enforce it later. Headings are for convenience only.

18. Contact

Questions about these Terms may be sent to contact@agmeno.com.
